Terms & Conditions of Service & Engagement
Please review the fundamental operational, commercial, and legal principles governing project engagement, delivery, intellectual property, and payment with Brolytics Technologies.
10 Fundamental Commercial Principles
Every quote, invoice, and development agreement is built upon these 10 core principles.
Starting & Indicative Pricing
CommercialAll figures listed on our rate cards and website represent starting or indicative baseline prices for standard scope requirements.
Approved Requirements & Scope
ScopeFinal pricing for any custom software or web development project is calculated exclusively based on the mutually approved Software Requirement Specification (SRS) and feature scope.
Taxes & Statutory Levies
CommercialAll published prices are exclusive of applicable Goods & Services Tax (GST 18%) and statutory government levies, which will be billed additionally on invoices where applicable.
Third-Party & Infrastructure Charges
InfrastructureThird-party charges (including domain registration, cloud hosting, third-party API usage, SMS/WhatsApp gateways, Play Store/App Store developer accounts, and paid fonts/licenses) are billed separately unless explicitly included in your quotation.
Project Commencement & Advance Payment
PaymentDevelopment sprints, UI design, and technical engineering commence strictly after mutual written project confirmation and receipt of the agreed milestone advance payment.
Scope Modifications & Change Requests
ScopeAny additions or modifications to the approved scope requested during or after development will be evaluated as Change Requests (CR) and may impact the project cost and delivery timeline.
Delivery Timelines & Client Approvals
DeliveryEstimated delivery schedules depend on project complexity, prompt provision of required content/credentials, and timely milestone reviews and approvals by the client.
Source Code & Intellectual Property Ownership
IP & CodeUpon full and final settlement of all agreed project invoices, full source-code ownership and intellectual property rights are transferred to the client as defined in the formal service agreement.
Maintenance, SLA & AMC Terms
SupportPost-launch warranty periods, ongoing Annual Maintenance Contracts (AMC), and Service Level Agreements (SLAs) are mutually structured and documented before project handover.
Supremacy of Custom Commercial Quotation
LegalA signed, formal custom project quotation and Master Service Agreement (MSA) supersede all general rate card figures and marketing estimates for that specific project engagement.
Detailed Master Service Terms
Comprehensive clauses governing delivery, code ownership, intellectual property, confidentiality, and support.
1. Engagement & Project Scope
Brolytics Technologies agrees to provide digital engineering, web development, mobile application development, UI/UX design, custom software, AI integration, SEO, and digital consulting services as detailed in the formal project proposal or statement of work (SOW).
Any feature, integration, or deliverable not explicitly enumerated in the approved SOW will be treated as out of scope and quoted under our standard Change Request (CR) workflow.
2. Client Obligations & Content Delivery
The client agrees to provide all necessary assets (brand guidelines, logos, text copy, images, credentials, third-party API keys) in a timely manner to prevent delivery delays.
Delays exceeding 14 calendar days in client feedback or material provision may lead to project rescheduling without financial penalty to Brolytics Technologies.
3. Payment Terms, Billing & Invoicing
Projects are typically structured on milestone-based billing: Advance Deposit, Design & Architecture Approval, Functional Beta Milestone, and Final UAT & Deployment Milestone.
Invoices must be settled within the timeframe specified on the quotation (standard Net-7 days). Delay in milestone payments may pause active development sprints.
All payments are non-refundable once the corresponding milestone sprint or deliverable phase has been initiated or delivered.
4. Intellectual Property & Source Code Transfer
Until full payment is realized, all code, designs, and digital assets remain the intellectual property of Brolytics Technologies.
Upon 100% clearance of all project invoices, Brolytics Technologies grants exclusive, worldwide, royalty-free ownership of the customized project source code and bespoke assets to the client.
Pre-existing proprietary frameworks, open-source libraries, and reusable utility modules remain subject to their respective open-source or proprietary licenses.
5. Confidentiality & Non-Disclosure (NDA)
Both parties agree to treat all business data, technical architecture, customer records, and trade secrets shared during the engagement as strictly confidential.
Brolytics Technologies will never sell, lease, or share client data with third parties. Standard Non-Disclosure Agreements (NDAs) can be executed upon client request.
6. Warranty, Bug Fixing & Post-Launch Support
Brolytics Technologies provides a complimentary 30 to 90-day bug-fixing warranty (as defined in the project quotation) starting from the date of production launch.
The warranty covers bugs, broken UI, and deviations from the approved specification. It does not cover new feature requests, server misconfigurations caused by third parties, or modifications made by external developers.
7. Limitation of Liability
In no event shall Brolytics Technologies be liable for indirect, incidental, special, or consequential damages (including loss of profits, revenue, or business interruption) resulting from software usage, third-party outages, or cyber incidents beyond reasonable engineering control.
Total liability under any circumstance is limited to the fees paid by the client for the specific service phase giving rise to the claim.
8. Governing Law & Dispute Resolution
These terms shall be governed by and construed in accordance with the laws of India.
Any dispute arising out of or in connection with project engagement shall first be resolved amicably through good-faith executive discussion, failing which jurisdiction shall lie with the competent courts in India.
